just got the mail + instructions.
However, the only upgrade instruction is "run 31_update.asp".
I guess that most (if not all) new files should just be copied over the old files?

Yes, the existing installation must be replaced with new one (including asp files, images/skins/settings/etc).
31_update.asp just allows you to upgrade database to 3.1 to retain existing data. It does not upgrade any files.

FYI, I:
1. copied web/*.* over old files
2. restored old settings from web/settings_path.asp
3. restarted iis using iisreset from cmd
4. un-installed mailbee objects (add/remove)
5. installed new mailbee objects version
6. ran 31_update.asp

Yes, that's right. Just wanted to make the instruction a bit more clear for readers:
1. backup existing web/settings_path.asp
2. copy web/*.* over old files (including subfolders)
3. overwrite web/settings_path.asp with backup version
4. restart iis using iisreset from the command-line
5. un-install mailbee objects (add/remove)
6. install new mailbee objects version from bin/mailbee.exe
7. run web/31_update.asp
